Harris Joins the FTC's Food Fight Against Kroger-Albertsons Merger
Amid rising grocery costs, the FTC's fight against the merger may end up hurting the very consumers it's supposed to protect.

Amid all the competing headlines of the 2024 election, there may be no more bread-and-butter issue—literally—than how much Americans are paying to put food on their tables. The GOP is gearing up to attack the Biden-Harris administration for escalating grocery store bills, while presumptive Democratic nominee Kamala Harris has now responded with her own plan to fight higher food prices.
One of the hottest items in this political food fight is unquestionably the ongoing litigation from the Federal Trade Commission (FTC) attempting to block the Kroger-Albertsons grocery store merger. A host of Democratic lawmakers recently joined the legal fight, arguing that any potential merger would raise prices, increase food deserts, and disproportionately hurt unionized labor. As part of her new food price plan, Harris included a call for aggressive antitrust crackdowns in the food and grocery industry, mentioning the Kroger-Albertsons merger by name in her speech this week.
None of the arguments against the merger make much sense on the merits, but the FTC—and the Democratic Party writ large—are stacking the legal deck to achieve a predetermined outcome that conveniently aligns with their policy priorities.
The saga started back in October 2022, when The Kroger Company and Albertsons Companies Inc. (the parent company for popular grocery chains like Safeway and Acme, among others) announced their plans for a $24.6 billion merger. The FTC promptly launched a 16-month investigation, culminating in a lawsuit in federal court to block the proposed merger.
Kroger is the fourth-largest grocery store chain in America—behind Walmart, Amazon, and Costco—and Albertsons is the fifth-largest. Once merged, the combined company would rise to third on the list. On the surface, this may seem to provide some support for the FTC's position, but American shoppers would be wise to read the fine print.
In truth, if the deal were to proceed, a merged version of Kroger and Albertsons would still only make up 9 percent of overall grocery sales. To put this in further perspective, consider that Walmart—the nation's largest grocery provider—would continue to operate more stores (including its Sam's Club outlets) than a Kroger-Albertson combo and maintain grocery revenue that is more than twice that of the merged company.
One could easily argue, in other words, that far from being a monopoly, a Kroger-Albertsons joint venture would be the best hedge against potential monopolies forming among the even-more-dominant firms above it on the grocery store food chain. But incredibly, the FTC pretends that two of those larger companies don't exist in the marketplace at all simply by working with their own definitions.
The FTC contends that only local brick-and-mortar supermarkets (what one might think of as a "traditional" grocery store) and hypermarkets (such as Walmart or Target, which sell groceries alongside other goods) count in the market for groceries. This narrow definition completely circumvents wholesale-club stores (such as Costco) and e-commerce companies that sell groceries (such as Amazon).
Given that Amazon and Costco just happen to be the second- and third-largest grocery retailers in the United States, the agency is blatantly gerrymandering the definition of the marketplace. The agency's longstanding position is that the only relevant market is stores where consumers can buy all or nearly all of their weekly groceries, which begs the question: Has anyone at the FTC stepped foot inside a Costco recently? Many Americans use club stores like Costco and BJ's Wholesale Club as their primary grocery stores, with around 15 percent of Americans ages 18–34 reporting that they do most of their grocery shopping at Costco.
Pretending that the internet doesn't exist makes even less sense. As the International Center for Law and Economics notes, 25 years ago a mere 10,000 households took part in online shopping, whereas today 12.5 percent of consumers (or over 16 million people) purchase their groceries "mostly or exclusively" online. Amazon is also preparing to make its own big push into brick-and-mortar grocery retailing as well, with CEO Andy Jassy saying last year that the company must "find a mass grocery format that we believe is worth expanding broadly."
Beyond the FTC's tortured marketplace definitions, its arguments for the alleged harms of a conjoined Kroger-Albertsons are equal parts unconvincing and outdated. In its complaint, the agency points to escalating grocery prices in recent years, and Harris echoed this by stating that she would enact a "ban on price gouging on food and groceries" by directing the FTC to impose "harsh penalties" on grocers. She also pledged to continue aggressive antitrust enforcement in the food sector, going so far as to highlight the Kroger-Albertsons merger as an example of the type of deal that could increase prices. However, as many commentators have pointed out, food price increases likely have more to do with inflation than any lack of competition in grocery markets.
In addition to the consumer price harms the FTC alleges, over half of the agency's legal complaint focuses on the alleged harm the proposed merger would cause to the unionized workers at Kroger and Albertsons. Both companies are heavily unionized—in contrast to Walmart and Amazon—and the agency claims that a combined company would have more leverage over unions given that the unions would no longer be able to play one company off against the other as a negotiating tactic. This glosses over the fact that the demand for labor is particularly competitive in the retail sector broadly, and workers could easily just jump ship to a different employer in the face of any exploitative terms pushed by the merged firm.
A final concern highlighted by some Democratic lawmakers is that a merged company could result in more store closures that lead to geographical areas within which there are few or no grocery options. Once again, this ignores the rise of club stores like Costco and online/home delivery grocery options. These alternatives reduce the plausible areas within which such food deserts can take hold, showing once again a poor understanding of the modern grocery marketplace.
Despite the many dubious underpinnings of the FTC's challenge, it fits with the Biden administration's aggressive antitrust emphasis over the past four years. While some observers were holding out hope that a Harris administration might curtail overzealous antitrust enforcement, her new food price agenda has poured cold water all over that (already wishful) thinking.

In the past, laws against “price gouging” (letting prices transmit unpleasant information) come in the form of price ceilings at the retail level after a natural disaster, and invariably lead to shortages of things like water and gasoline. They aren’t across the board price fixing at every level in the supply chain.

I hate to admit this, but I think that I am on Harris’ side here. At the gut level, I oppose the merger. We typically shop for groceries in the following order:
1) Kroger’s
2) Walmart
3) Costco
4) Safeway/Albertsons
5) Amazon (despite the Whole Foods a half mile away in PHX being the closest grocery store there).
Kroger’s (in the last 3 months I have shopped their Fry’s, Fred Meyer’s, Smith’s, King Sooper’s, and City Market) have good selection, prices, sales, and gas reward program. Their pharmacies have an overnight turnaround for almost all drugs that they don’t have on hand (Walgreens can be a week). Walmart has slightly better prices, and we can combine it with other shopping. And it’s Walmart, with its less desirable clientele, lousy parking, surly employees, etc. Costco is for bulk, and their own generic brands are often dirt cheap. Their Irish Crème is roughly 1/4 the price of Bailey’s, and almost as good. And their pharmacists are fast and will refill (without insurance, of course) prescriptions early without much fuss. Safeway has the better produce, pastries, etc. One of the Fry’s that we frequent in PHX (actually across the border in Scottsdale) is across the street from a Safeway, and I will often pop over there if I can’t find what I want at the Fry’s. Then, there are my emergency runs to Whole Foods (Amazon) when my wife needs something NOW. 5 minutes either way, including parking. Great selection of stuff we don’t want, and mediocre and overpriced selection of what we do want. The smugness (see South Park) and political correctness can be almost overwhelming at times.
My point here is that the market is well segmented. It’s kinda like when IBM was urging the court to look at the entire computer market, including minis and micros, while the DOJ was looking at the mainframe computer market. In our shopping, Kroger’s and Albertson’s are the closest competitors. And the other three are specialties. Thus, why my gut says that the merger would harm us.

The primary objective of mergers is to lay off HQ type staff. They may rationalize that as ‘keep the best’ but that’s not how it works. People who are getting laid off don’t sit down with their replacement and say this is how we do the best stuff that we do and you probably don’t need to do this other stuff. Layoffs at scale NEVER improve a customer experience even though HQ layoffs have a smaller impact than front line staff.
The second is to streamline the financials if debt is a problem. Or to leverage it up if they want debt to be a problem (aka focus attention). Those changes again NEVER improve a customer experience.
I have been through dozens of mergers. Anyone who yaps about a positive customer experience is a PR hack selling a pile of manure to the press in order to bamboozle the potential customer. Indeed that PR stuff is part of every formal merger plan

Ahold Delhaze is the one I work under (Giant/Foodlion/martins). I dislike the merging myself.
But mostly because I think they’re getting carve outs all along the way from the same gov threatening to break them up, so it feels suss as to why. Non-compliance?
When my friends restaurant couldn’t open due to COVID, I was serving mobs of people snow crabs they were partying with their free $1700. Grocery stores got to slay it sales all along.
From the employees point of view, it makes it harder to just hop over to the competition if you want something better. I couldn’t apply to any other Ahold delhaize companies because you’re in one big data bank and they don’t allow it unless you’ve already quit or been terminated from the one job. The more they combine the more you’re under the thumb of one big company.
So I get the sentiment. But you have to suspect that Harris is going to do this in a bad way for all the wrong reasons. Pretty sure they want one or two big companies they can more easily keep their thumbs on.
I don’t buy groceries at any of the places you listed.

St. Louis has a couple of very local chains that dominate the market here. We don’t have HEB, Publix, Albertson’s, Kroger, Meijer, Food Lion, Hen House, Safeway, Hy-Vee, King Soopers, Vons, Ralph’s, Jewel-Osco, or ShopRite.
And I try never to shop at Walmart, and I don’t buy groceries over Amazon.
When I lived in Texas, it was a bit disconcerting how just about everything for groceries was HEB. One thing that was good about it was that they had a lot of deals with local farmers, so you could get some really good fresh and seasonal produce no matter the time of year. I’m sure a lot of that is the legacy of all the Farm to Market roads that Sam Rayburn sponsored.
I do get why Albertson’s is trying to merge with Kroger because they’ve been in a state of shit for a long time, and Kroger is relatively stable because they’re so spread out.
We have tons of farms here and regular farmers markets. And there is a plethora of options online like Butcher Box that save hours and are generally on par or cheaper than grocery stores.
I live in northern IL and we don’t have any of those either except Meijers which is a bit of a drive for me. Kroger sold out to Schnucks a few years back. I liked Kroger better.
I’m not crazy about the merger, but I see no reason to prevent it. We have both Kroger (Mariano’s & Food4Less) and Albertson’s (Jewel-Osco) in the area. Should the merger go through, most of the Mariano’s stores will be sold to a third party along with four Jewel-Oscos. The remaining Mariano’s and Food4Lesses will probably become Jewel-Oscos. Will it affect grocery competition? Probably not at all as we have Aldi, Meijer, Walmart (& Sam’s), Costco, Tony’s Finer Foods, Pete’s Fresh Market, and several others in the area.

The merger can’t do anything positive for consumers. Doesn’t mean the government should be opposing it but I suspect this is purely a real estate consolidation not anything to improve any consumer experience. Here in Denver, King Soopers and Safeway are basically identical with near identical weekly deals. They’ve already merged their mindset. Now they just want to space themselves out more so their enormous parking lots can deliver a better return on land investment. Sprouts has its niche as does Whole Foods as does Trader Joe’s and the ethnic markets. They seem more like actual retailers than simply agents of Big Food and shelf space contracts.
I am not at all surprised that Safeway and Kroger are failures overseas. I suspect their locations are the doubling down on single family home zoning idea – but sprawl just begets more sprawl not improved return for a commercial business. They can’t expand or grow so now they have to shrink.
Why do people fetishize grocery shopping? All these people who have emotional attachments to stores (Trader Joe’s anyone?) need to have an intervention. Given that most of what people buy either comes from branded manufacturers or is essentially a foodstuff commodity, why get so excited?
And I bet that most people who claim big differences in the food from different sources would fail blind tests.
I’ve got about 15 years in working for a grocery company. I’ve noticed for a lot of customers it’s so ritualized as something they do a couple of times a week or even every day, they’ve become weirdly invested in it. Especially the old people, it’s the highlight of their day. Not saying it’s healthy but it’s a thing. And if you have a remodel god help you you will unleash the wrath of the elderly.
As an old person who walks to the grocery store almost every day (I live in a village where that’s easy), I understand. It’s a routine I enjoy. I like the walk. I like meeting friends and acquaintances for conversations on the way. When I buy fresh items, I want to see and touch them first. The employees at the store are friendly and helpful, and I’ve known some of them for decades. There’s nothing “weird” about it.

Try shopping for food in France. They have created a completely unique daily routine. It’s not just this retailer or that one. It’s niche stores in every neighborhood. So much so that it is one of the experiences that helps define a neighborhood. It is the reason that Paris is the origin of the 15 minute city idea . Why they have tiny refrigerators and walk every day to either shop for food or eat at the cafe next to the grocery store. Something that reinforces the idea that food/eating is a social experience not just a way to ingest calories. What the food court at the mall was intended to emulate but with good food not chains
I got drunk in a small grocery store in Carcassonne. It was like a Little George’s that had beer taps. And their idea of a freezer was a slightly colder fridge. So the warm assed beer we had to take for carry out back to our place was still 50 degrees after hours of being in there.

Some people were still dedicated to the boutiques on the same street for most things they ate, but others discovered that they could get the same food at lower prices and much less time. Those that still relish the local shops as part of the meaning of life are just indulging their own fetish.
Hypermarkets are almost exclusively suburbs. Can’t do that much land footprint in a city and it’s not worth it in a small town. Obviously once you require a car to go grocery shopping, then you no longer have any destinations near where you live.

You clearly never lived in France. Yes French suburbs are where the immigrants live because that’s where the French built their big tower blocks after WW2. They simply built affordable housing in their greenfield area and connected it to the city via public transport. We OTOH – paid trillions eminent domaining for cronies, built highways through the city, demolished the city, built tower blocks in the city, and built middle class housing in the greenfield.
Earlier French suburbs are on a ‘small villages that all gradually grow and merge together into a big city’ model. The way cities have always organically grown if the growth isn’t driven by collusion between govt, big developers, and banks.
The richest Paris suburb has a density similar to NYC – though lower than Paris. The places with real life Communist mayors (not milquetoast ‘progressives’) are some Paris suburbs. Those mayors even called their strategy ‘Red Belt’ – Paris encircled by the revolutionary proletariat

Custom boxes are $169, 8-14 lbs,. but I’m guessing you don’t get 14lbs unless you’re piling on the drumsticks or something else I can actually still get for less than $2/lb locally.
