New FTX CEO Describes 'Complete Failure of Corporate Controls' in Scathing Court Filings

The latest revelations about collapsed cryptocurrency exchange FTX show a company that was even more shambolically managed than was known or even thought possible. "Never in my career have I seen such a complete failure of corporate controls and such a complete absence of trustworthy financial information," said John Jay Ray III, the new FTX CEO who's been appointed to oversee the company's bankruptcy, in Thursday court filings.

Ray, a veteran of corporate bankruptcies including Enron, described the management practices of FTX and its related companies as "unacceptable," "unprecedented," and "historical" (but not in a good way).

Sensitive customer information was kept on unsecured email servers. The company lacked a complete record of its bank accounts and a complete list of its employees. Expenses were approved by a shifting group of supervisors, who often signed off on reports with personalized emojis. FTX funds were used to purchase homes and other personal items for company executives, and complete records of those transactions weren't kept. Company executives also communicated with auto-deleting chat software, making a complete accounting of decisions impossible.

Throughout the filings, Ray stresses that records provided by FTX and its related companies while it was under the control of former CEO Sam Bankman-Fried couldn't be counted on to be accurate. He also questioned the reliability of audits performed of FTX-linked companies by Prager Metis, an accounting firm that claims to be the "first-ever CPA firm to officially open its Metaverse headquarters in the metaverse platform Decentraland."

Bankman-Fried resigned from the company he founded last week after concerns over the exchange's solvency saw customers rush to make withdrawals that the company didn't have the funds to meet. It's been reported that Bankman-Fried, a prolific donor to Democratic political campaigns, was loaning billions of dollars of customer deposits to a cryptocurrency trading firm he owns, Alameda Research, to make risky trades.

Thus far, Ray has managed to track down about $740 million in cryptocurrency owned by FTX. The company owes customers a reported $8 billion, reports The New York Times.

Bankman-Fried gained a lot of flattering press attention for his commitment to the utilitarian ideas of philosopher Peter Singer and the related effective altruism movement. His stated plan had been to accumulate a fortune in cryptocurrency in order to give it away to the most effective charitable causes.

In remarkably candid messages to Vox reporter Kelsey Piper earlier this week, Bankman-Fried conceded that his professed support for effective altruism was mostly a front.

His fall from grace has kicked off some intense self-reckoning in the mostly online effective altruism movement.

Some effective altruism proponents have stressed that their consequentialist philosophy of using data to guide charitable giving and prioritizing the greatest good for the greatest number of people shouldn't be tarred by Bankman-Fried's alleged fraud and misdeeds.

Others have said that the disgraced CEO's risky financial dealings could be justified under a more radical effective altruist belief that posits it's worth taking insane risks if they come with a huge potential upside for human and animal welfare.

A few people on Twitter have even suggested that Bankman-Fried's confession that his effective altruism was a sham is actually evidence of his sincere belief in the philosophy. By distancing himself from effective altruism, he's preventing the utility-maximizing moral framework from being disgraced along with him.


FREE MINDS

Reports of Twitter's death have been greatly exaggerated. As the sun rose on Friday morning, the social media website is still functioning despite fears that the turbulent management of new owner Elon Musk might sink it overnight.

Musk had given Twitter employees a Thursday deadline to explicitly commit to his self-described "hardcore" work ethic and visions for the site or resign with three months severance pay. Hundreds of employees have reportedly resigned already.

Fortune reporter Kylie Robison's tweets that as much as 75 percent of the company was resigning and that physical access to Twitter headquarters had been cut off led to panicked musing that the site was finished last night.

"Damn Twitter," "#RIPTwitter," and "#GoodbyeTwitter" trended briefly last night. Twitter's continued survival suggests things aren't quite so dire at HQ. Should the company implode, the dynamic tech sector will surely find another way for us to yell at each other online.

The United Kingdom's ever-so-brief "libertarian moment" is well and truly over. On Thursday, British Finance Minister Jeremy Hunt unveiled a slew of massive tax hikes to balance the country's budget. Reports Reuters:

In a bid to restore Britain's fiscal reputation after the chaos caused by former prime minister Liz Truss's plans for sweeping tax cuts, Hunt outlined a budget programme on Thursday to save 55 billion pounds a year to fix the public finances. Almost half the belt-tightening is due to come from tax increases.

      There is a huge crypto community here in Irvine. 20 year old asian kids driving around in lambos and M6's, doing donuts in the intersections and wrapping the cars around trees. Sounds like FTX was the same, just with the company instead of cars.

        Looks like the GOP House is going to have a field day with the FTX investigation.

        They would if they had leadership with balls. I'll be shocked if they do anything other than bring in some people for a few harsh words. A party with a sack that only held one branch of Congress would take the opportunity to coordinate a class-action suit with GOP governors (basically, if you own property in a red state and invested or were involved with FTX, you get investigated) to really put the screws to the people running the company, and the politicians and celebrities who did business with them.

      The CNN article says that the study shows that Vitamin D did not prevent Covid - but didn't go into mitigation. And it quite accurately says that most people have insufficient Vit D, while noting that excess Vit D in the long term can be harmful, which we also know to be true. In fact, "supplement is beneficial except in large doses" is hardly a surprising generic outcome. It's not true of Vit C as far as we can tell, it's notoriously true of Vit A, and IIRC it's also true of Vit E, particularly in racemic form. (As there are some chemists here, I thought they'd enjoy seeing the word "racemic").

        I would suppose a lot of the minute-to-minute task of keeping the Twitter site up is scaling the number of service instances as demand varies. Hopefully, it would be automated by now and, if Musk were smart, he would not have fired the people who know how it is set up, how to maintain it, know the passwords.

      It’s amazing what comes out while we’re still counting the midterm ballots, isn’t it? In addition to the admitted heart-related side effects of the covid jabs AND the FTX/Money laundering scandal (more on that in a future piece!) that I discussed in a previous article, a federal court has also struck down Biden’s vote buying scheme student loan forgiveness program. This was completely expected and would have probably hurt Democrats with the young people who ‘saved’ them if it came out BEFORE the election, but — what luck!! — we only get the ruling after voting was (mostly) over.

      This follows the familiar pattern of the Biden administration “passing” (more like writing) unconstitutional rules because it knows the courts will take a little time shooting down those rules. By the time the courts ‘remedy’ the situation, the administration has already achieved its short-term goal. We saw this with the CDC eviction moratorium, the federal vaccine mandates, and it sure looks like we saw something very similar with August’s Mar-a-Lago raid. (Wait totally NOT a raid!)

      It's honestly rather interesting to see what these stores lock up now, based on what gets stolen the most. A Target that I used to shop at quite a bit locks up all the personal hygiene items like deodorant and shampoo, while the Walmart near where I work locks up the socks and underwear and the hygiene department has a cashier sitting there. At the latter, you have to pick the shit up from customer service if you still have shopping to do.

        The Walgreens in my town that has had the most incidents, was locking up stuff and we had a local story that mirrored the national one from a couple months ago.

        Basically a "RACISM happening at Walgreens?! Black/brown POC beauty products locked up while white products aren't" to which the manager replied when asked "well ya, that's the shit that gets stolen basically every day". Good for a lolz.

    Sensitive customer information was kept on unsecured email servers. The company lacked a complete record of its bank accounts and a complete list of its employees. Expenses were approved by a shifting group of supervisors, who often signed off on reports with personalized emojis.

      This whole thing... again, puts me in mind of Elizabeth Holmes, and one of the more profound segments of the excellent film Out For Blood.

      I've mentioned this before but I think it's worth mentioning again, re the Silicon Valley mantra "move fast and break things". I'm paraphrasing here, but essentially he said "Silicon Valley is really good at building companies where you put an emoji on an email or superimpose cat ears on a selfie, but now they're starting to get into things where healthcare and safety are at risk... where human lives are at risk, and unfortunately, that takes a different mindset."

      I would add "fucking with people's investments or life savings" to that list of concerns.

        Silicon Valley essentially became a playground for overgrown children since the Great Recession, although I'm sure it started even before the dotcom bubble popped in 2000.

        The problem becomes, as you said, when these stunted individuals start getting their fingers in pies that they have no business being involved with, because they don't have the intellectual or emotional development to understand consequences, and have been indulged for years by VC investors who took advantage of ZIRP loans to pump buckets of cash into over-inflated companies that rarely, if ever, made a profit but gave the investors a nice return on their stocks with the assistance of not-subtly influenced media hype.

      It's mainly an internet-influenced thing from chat rooms and posting forums that's a result of people being too lazy to type out these hyphenated or extended names.

      Also, I strongly suspect the reason Biden's handlers decided to let this go was because Bin Salman told them he and the UAE would use OPEC to crater the US economy, and kick US troops out of Prince Sultan Air Base if they tried it.

    What's remarkable is that ostensibly sophisticated institutional investors gave FTX/Alameda so much money. At this point, conspiracy/corruption are the best case scenario. Here was a guy just a couple of years out of college, whose trading track record was less than three years. And yet he was elevated to the role of top market leader. While he was spending more time blathering about politics than talking about his business. And he was playing video games on calls to pitch his business. Did I mention running a rolling orgy in the Bahamas with his speed-freak girlfriend? If you're giving this guy millions of dollars because of some sort of corruption or conspiracy, okay, I get it. You're a POS and should never be in a position of public trust ever again. But, there's at least a logic there. But if it isn't because of conspiracy or corruption? Not only should you never be in a position of public trust ever again, you shouldn't be able to leave your house unsupervised or be trusted around pointy objects. You're too imbecilic to be treated as anything more than a semi-retarded toddler.
